Terms of Service

By accessing, registering for, or using Nilo AI ("the Service"), operated by Smart Zend LLC and available at niloai.org, you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these Terms, do not use the Service.

These Terms constitute a legally binding agreement between you ("the User", "you") and Smart Zend LLC ("the Company", "we", "us"). They apply to all users, including visitors, Chrome extension users, web dashboard users, and API users.

Nilo AI is a Revenue Intelligence platform that provides:

• Real-time sales meeting transcription via Google Meet, Microsoft Teams, and Zoom
• AI-powered transcript analysis for sales insights (MEDDIC methodology)
• CRM and sales pipeline intelligence synchronization
• Real-time coaching for sales representatives
• Automated summaries, next steps, and deal scoring

The Service is provided "as is" and Smart Zend LLC does not guarantee uninterrupted availability, although commercially reasonable efforts are made to maintain high availability.

To use the Service, you must create an account with accurate and current information. You are responsible for:

• Maintaining the confidentiality of your access credentials
• All activities that occur under your account
• Immediately notifying legal@niloai.org of any unauthorized use

By using the Service, the User expressly acknowledges, understands, and agrees that:

• All information, data, transcriptions, audio recordings, and content uploaded, generated, or processed through the Service will be stored on cloud servers located in the United States of America.
• Such information will be accessible via the internet through encrypted connections (TLS/SSL) and protected with at-rest encryption (AES-256).
• Smart Zend LLC uses third-party infrastructure providers (including Railway, Neon, and AI services) for data processing and storage.
• The User is solely responsible for obtaining all necessary consents from third parties whose data may be processed through the Service, including meeting participants.

Use of Nilo AI may involve audio recording and transcription of video conference meetings. THE USER IS FULLY AND SOLELY RESPONSIBLE for:

• Informing all meeting participants that the conversation is being recorded and transcribed by an AI system
• Complying with all applicable recording and data protection laws
• Obtaining prior, free, and informed consent from all participants

Smart Zend LLC assumes no liability for the User's failure to comply with applicable privacy, data protection, or recording laws. The User shall indemnify and hold Smart Zend LLC harmless from any claim, lawsuit, fine, or penalty arising from breach of this obligation.

You agree not to use the Service to:

• Record meetings without the consent of all participants
• Process information of individuals under 18 years of age
• Violate applicable privacy laws (GDPR, LGPD, CCPA, Argentine Law 25,326, etc.)
• Corporate espionage or unauthorized data collection
• Attempt to access data belonging to other users or organizations
• Reverse engineer, decompile, or extract source code
• Use the Service to train competing AI models
• Resell, redistribute, or sublicense the Service without authorization
• Any illegal activity or violation of third-party rights

The Service: The Service, including its source code, design, registered trademark "Nilo AI", algorithms, models, and all content generated by Nilo AI, is the exclusive property of Smart Zend LLC.

User Content: You retain all rights to content you upload or generate. You grant Smart Zend LLC a limited, non-exclusive, revocable license to process such content solely to provide the Service.

Smart Zend LLC may use anonymized, aggregated data derived from Service usage to improve the product.

Paid plans: Billed in advance on monthly or annual cycles in USD. Payments are processed by Stripe.

Cancellation by User: You may cancel at any time from your account settings. Access continues until the end of the paid period. No refunds for partial periods.

Free trial: 14 days of full Professional plan access. No credit card required. After trial expiration without an active subscription, the account transitions to the free plan.

• Violation of these Terms or any Service policy
• Fraudulent, abusive, or illegal use of the Service
• Activity posing a security risk to the platform or its users
• Non-payment or recurring payment disputes
• Request from competent judicial or administrative authorities
• Any circumstance Smart Zend LLC deems detrimental to the Service, its users, or its reputation

For termination due to Terms violation, no refund is owed. For termination without cause, Smart Zend LLC will provide 30 days' notice and refund the prorated unused portion.

After cancellation, the User has 30 calendar days to export their data. After that period, Smart Zend LLC may permanently delete all account data.

You agree to indemnify, defend, and hold harmless Smart Zend LLC, its directors, employees, agents, and affiliates from any claim, demand, damage, loss, cost, or expense (including reasonable legal fees) arising from your use of the Service, recording of meetings without proper consent, violation of these Terms, or violation of third-party rights.

To the maximum extent permitted by applicable law, Smart Zend LLC shall not be liable for indirect, incidental, special, consequential, or punitive damages, loss of data, profits, or business opportunities.

Smart Zend LLC's total cumulative liability shall not exceed the amounts paid by the User during the twelve (12) months preceding the event giving rise to the claim.

Personal data processing is governed by our Privacy Policy, incorporated into these Terms by reference.

Smart Zend LLC reserves the right to modify these Terms at any time with a minimum of 30 days' prior notice via email. Continued use after the notice period constitutes acceptance of the modified Terms.

These Terms are governed by the laws of the Republic of Argentina. Any dispute shall be submitted to the exclusive jurisdiction of the Ordinary Courts of the City of Buenos Aires, Argentina.

• Severability: If any provision is held invalid, the remaining provisions continue in full force.
• Waiver: Failure to exercise any right does not constitute a waiver.
• Assignment: You may not assign these Terms without prior written consent from Smart Zend LLC.
• Entire Agreement: These Terms, together with the Privacy Policy, constitute the complete agreement between the parties.

Nilo AI runs on infrastructure provided by external vendors, principally Railway (web application hosting) and Neon (PostgreSQL database).

Smart Zend LLC expressly states that it has no operational control over Railway's or Neon's infrastructure, and that it shall not be held responsible for:

• Outages, unavailability, or service degradation of Railway's hosting
• Data loss or corruption attributable to Neon failures
• Latency, network errors, or connectivity issues originating with these providers
• Any Service interruption arising — directly or indirectly — from third-party infrastructure issues

Should Railway's services become unavailable, the Nilo AI web application may become temporarily inaccessible until Railway restores its service. Smart Zend LLC cannot guarantee Railway's uninterrupted availability and assumes no obligation to compensate users for interruptions caused by third-party infrastructure failures.

This clause is supplementary — and not limiting — to Section 11 (Limitation of Liability).
